These Partner Programme Terms ("Partner Terms") govern your participation in the Sentia Partner Programme ("Programme"). The Programme is operated by:
SIR PATRYK PEAS
ul. Długa 57c/45
53-633 Wrocław, Poland
In these Partner Terms, "Sentia," "we," "our," or "us" refers to SIR PATRYK PEAS, and "you" or "Partner" refers to the person or business accepted into the Programme.
The Programme lets you recommend Sentia and earn a commission on subscriptions bought by customers you refer. Participation does not create a partnership, joint venture, employment, franchise or agency relationship. You are an independent participant: you may not act on behalf of Sentia, make commitments in our name or present yourself as our employee or representative.
These Partner Terms apply in addition to the Sentia Terms of Service and Privacy Policy. If they conflict on a matter concerning the Programme, these Partner Terms prevail.
hisentia.app/?ref=yourname).Participation is by invitation only. To participate you must:
Invitations are personal and cannot be transferred.
Referral Link. When someone opens your Referral Link, we remember it on their device for 90 days. If they open another partner's link afterwards, the most recent link applies. When they subscribe within that window, your Partner Code discount is applied automatically at checkout.
Partner Code. A customer can also enter your Partner Code at checkout. A code entered at checkout takes precedence over any earlier link.
Customer discount. Your Partner Code gives new customers the discount agreed in your invitation and shown in your Partner Dashboard. The code works only on a customer's first purchase.
When attribution is fixed. A customer is attributed to you at their first paid subscription checkout that used your link or code. Once fixed, attribution cannot be changed or claimed by another partner, and each customer can be attributed to only one partner.
No Commission is earned on:
You may not earn Commission on your own subscription or on subscriptions of accounts you own, control or pay for, and you may not create accounts, use false identities or encourage fictitious sign-ups to generate Commission. Commission connected with such activity is not payable.
Your Commission rate (a percentage) and its duration are agreed in your invitation and shown in your Partner Dashboard. The duration is either:
Commission is calculated as your rate multiplied by the Net Payment:
The rate and duration that apply to a Referred Customer are fixed at the moment that customer is attributed to you. We may change the rate or duration for customers attributed in the future by giving you at least 30 days' written notice; changes never apply retroactively to customers already attributed.
Every Commission, reversal, adjustment and Withdrawal is recorded in Sentia's partner ledger. Each Commission is pending for 30 days after the related payment (the Clearing Period) and becomes part of your Available Balance after that.
Balances are kept separately for each currency in which Referred Customers paid. Sentia does not convert balances between currencies.
If a payment on which you earned Commission is disputed, charged back or returned to the customer for any reason, the related Commission is reversed in proportion to the amount affected. Reversals apply immediately, whether the Commission is still pending or already available. If a dispute is later decided in Sentia's favour, the reversed Commission is credited back.
If reversals make your balance negative, the shortfall is offset against future Commission. You will never be invoiced for a negative balance.
No Commission accrues on payments made while your participation is suspended.
Sentia may record manual adjustments (for example a goodwill credit or the correction of an error). Each adjustment is shown in your balance.
Withdrawals are paid through Stripe Connect. Before your first Withdrawal you must complete Stripe's onboarding and identity verification and accept the Stripe Connected Account Agreement. Stripe's own terms apply to your Stripe account. Sentia does not receive or store your bank details.
You can request a Withdrawal when your Available Balance in a currency reaches the minimum shown in your Partner Dashboard (at the date of these Partner Terms: €50, $50 or 200 zł). A Withdrawal always covers the whole Available Balance in that currency.
A fixed Withdrawal Fee is deducted from each Withdrawal to cover payout costs charged by our payment provider (at the date of these Partner Terms: €2.50, $2.50 or 10 zł, depending on currency). Before you confirm a Withdrawal, the Partner Dashboard shows the gross amount, the fee and the net amount you will receive.
You bear any fees charged by your bank, currency conversion costs (including conversion performed by Stripe or your bank when your bank account is in a different currency) and any fees Stripe charges on your connected account.
After you confirm a Withdrawal, we initiate the transfer to your Stripe account immediately. Stripe then pays out to your bank account according to its payout schedule. We are not responsible for delays caused by Stripe, your bank or incomplete verification.
If a transfer fails, the amount is returned to your Available Balance and you may try again later.
If we pay you more than you were entitled to (for example because of a technical error or a later reversal), we may offset the excess against future Commission.
You are solely responsible for declaring and paying any taxes and social contributions due on amounts you receive. Unless the law requires us to withhold tax, we do not withhold tax, file returns on your behalf or provide tax advice. All amounts are gross.
Before your first Withdrawal you must provide your country of tax residence, whether you participate as an individual or a business, and — where applicable — your tax identification number (for example NIP, PESEL or VAT ID). You must keep these details accurate.
If you participate as a business, you must issue Sentia an invoice for each Withdrawal. We may withhold further Withdrawals until the invoice for a previous Withdrawal is received.
You must promote Sentia honestly and lawfully. In particular, you may not:
You must clearly disclose commercial content as advertising or a paid partnership wherever the law or platform rules require it (including the rules of the Polish Office of Competition and Consumer Protection (UOKiK) and EU consumer law), for example by labelling posts "#ad" or "paid partnership with Sentia".
The Partner Dashboard shows aggregated figures only: the number of paid sign-ups, the number of active subscribers, balances and monthly totals. To protect our customers, you will never receive personal data about Referred Customers, such as names, email addresses or individual payments.
Sentia's ledger is the authoritative record of attribution, Commission and Withdrawals. If you believe something is wrong, you must tell us within 90 days of the relevant month; after that the figures are final.
We process your personal data (such as your name, email, tax details and payout status) to run the Programme, as described in our Privacy Policy. Identity and bank details for payouts are collected and processed by Stripe.
We make no promise about how much, if anything, you will earn. Earnings depend on customers subscribing and continuing to pay. Sentia may change its products, plans and prices at any time.
To the extent permitted by law, Sentia's total liability to you in connection with the Programme is limited to the total Commission paid to you in the 12 months before the event giving rise to the claim, and Sentia is not liable for indirect or consequential losses, lost profits or lost opportunities. Nothing in these Partner Terms limits liability that cannot be limited by law, including liability for intentional misconduct.
We may update these Partner Terms. We will notify you of material changes by email or in the Partner Dashboard at least 30 days before they take effect. If you continue to participate after that date, the updated Partner Terms apply. Changes to your Commission rate follow section 6.3.
These Partner Terms are governed by the laws of Poland and applicable European Union law. We will try to resolve any dispute amicably first. Unresolved disputes will be settled by the competent courts of Wrocław, Poland. If you participate as a consumer, you keep the protection of the mandatory laws of your country of residence and may bring proceedings there.
If any provision of these Partner Terms is found invalid, the rest remains in force. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Partner Terms without our consent. These Partner Terms are available in English and Polish; if they differ, the English version prevails.
